Marketing Consulting Services Agreement

This Marketing Consulting Services Agreement (the “Agreement”) is entered into between the individual or entity making payment for services (the “Client”) and Growworth Consulting LLC (the “Consultant”). This Agreement becomes effective upon Client’s payment for services.

1. Definitions

“Services” refers to the marketing consulting services provided by Consultant, which may include strategy development, campaign planning, market research, branding guidance, messaging and positioning support, content direction, and marketing advisory.
“Effective Date” means the date Client makes payment for Services.
“Project” refers to the specific consulting engagement covered by this Agreement.

2. Services

Consultant agrees to provide marketing consulting Services as outlined in the Client’s selected service package or scope of work. Services may include scheduled consulting sessions, written strategy documents, feedback on marketing materials, and access to Consultant’s tools or frameworks. Consultant will maintain ongoing communication via email, phone, or virtual meetings throughout the duration of the engagement. Services will commence on the Effective Date.

3. Payment Terms

Client agrees to pay the fees specified in their selected consulting package or engagement scope. Payment indicates acceptance of this Agreement and authorizes Consultant to begin providing Services. Any work outside the original scope will require a new agreement and additional payment.

4. Intellectual Property Rights

Consultant shall retain ownership of all proprietary frameworks, tools, templates, methodologies, and content used during the consulting engagement. However, Client shall have a non-exclusive, non-transferable license to use any materials or deliverables provided by Consultant for internal business purposes. Client retains ownership of any original content, data, or business materials it provides to Consultant.

5. Confidential Information

Both parties agree to maintain the confidentiality of all proprietary and sensitive business information disclosed during the course of the engagement. Neither party will disclose such information to any third party without prior written consent, unless required by law.

6. Client Responsibilities

Client agrees to participate actively in the consulting process by attending scheduled meetings, providing necessary information and documentation, and giving timely feedback. Client understands that the success of the engagement depends on Client’s full cooperation and implementation of Consultant’s recommendations.

7. Consultant Responsibilities

Consultant agrees to perform Services in a professional and diligent manner, based on industry best practices and the Consultant’s expertise. Consultant does not guarantee specific business outcomes but will make reasonable efforts to provide recommendations that support Client’s objectives.

8. Indemnification

Client agrees to indemnify and hold Consultant harmless from any claims, damages, losses, or expenses arising from Client’s use or misapplication of the consulting advice, strategies, or materials. Consultant shall not be liable for actions taken (or not taken) by Client based on Consultant’s recommendations.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any dispute arising from this Agreement shall be resolved in the courts of Sarasota County, Florida.

10. Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes any prior agreements, written or oral. Any amendments to this Agreement must be made in writing and signed by both parties.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By proceeding with payment, Client acknowledges having read, understood, and agreed to all terms and conditions of this Agreement. Client is encouraged to review this Agreement carefully and contact Consultant with any questions prior to submitting payment.
