Service Agreement

This Website Design Services Agreement (the “Agreement”) is entered into between the individual or entity making payment for services (the “Client”) and Growworth Consulting LLC. This Agreement becomes effective upon Client’s payment for services.

1. Definitions
“Services” means the website design and development services selected by Client through Contractor’s website. “Effective Date” means the date Client makes payment for Services. “Project” means the website design work to be completed under this Agreement.

2. Services
Contractor agrees to provide website design and development services as specified in Client’s selected service plan. These Services include website design, development, content creation, copywriting, and creative services as outlined in the plan description. Contractor will provide direct customer support via email or phone throughout the Project. The Services will commence on the Effective Date.

3. Payment Terms
Client agrees to pay the fees specified in their selected service plan. Payment indicates acceptance of this Agreement and authorizes Contractor to begin work. Additional services beyond the selected plan’s scope will require separate agreement and payment.

4. Intellectual Property Rights
Upon receipt of full payment, Client shall own all deliverables created specifically for Client’s website, including custom design elements, written content, and custom coding. Contractor retains all rights to its proprietary development framework, plugins, tools, brand assets, trademarks, and standard code libraries. Contractor grants Client a perpetual, non-exclusive license to use any Contractor-owned components included in the deliverables.

5. Confidential Information
Contractor agrees to protect Client’s confidential information, including business data, customer information, financial details, marketing plans, and technical specifications. Client agrees to protect Contractor’s confidential information, including development methods, pricing strategies, and proprietary tools. Both parties agree not to disclose confidential information to third parties or use it for any purpose outside this Agreement.

6. Client Responsibilities
Client agrees to provide necessary content, materials, and feedback required for project completion in a timely manner. Client is responsible for reviewing and approving deliverables, maintaining the website after launch, and using the website in compliance with applicable laws.

7. Contractor Responsibilities
Contractor agrees to perform Services in a professional manner, following industry best practices. Contractor will maintain regular communication regarding project progress and protect Client’s confidential information.

8. Indemnification
Client agrees to indemnify and hold Contractor harmless from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney’s fees, arising from Client-provided content, Client’s use of the website, Client’s business operations, or third-party services integrated at Client’s request.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any dispute arising from this Agreement shall be resolved in the courts of Sarasota County, Florida.

10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings. This Agreement may only be modified in writing signed by both parties.

11. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By proceeding with payment, Client acknowledges having read, understood, and agreed to all terms and conditions in this Agreement. Client is advised to review this Agreement carefully and contact Contractor with any questions before making payment.
